End User Licence Agreement for Portal Applications

1. Agreement

This End User Licence Agreement (“EULA”) is a legal agreement between you (“You”) and Portal Technologies Ltd, having its registered office at 1 Sussex Street
Barangaroo Sydney, NSW 200 (“Portal”) (the “Parties”) and relates to Your use of the Portal mobile application associated with this EULA (“Portal App”).

Your access to and use of the Portal App is subject to Your acceptance of and compliance with this EULA. By downloading, installing, accessing, or using the Portal App, You acknowledge that You have read, fully understand, agree to, and will be bound by this EULA.

You acknowledge that this EULA is between You and Portal only (and not with Apple, Google, or any other third party).

2. Licence Grant

Portal grants You a limited, non-exclusive, non-transferable, revocable licence to use the Portal App on any mobile device You own or control, solely for the purpose of storing digital access credentials and operating compatible access hardware.

3. Terms of Use (Access Functionality)

The Portal App is a utility designed strictly for secure physical access.

  • Permitted Use: You may use the App solely to receive, store, and utilize digital keys or access credentials provided to You by a property operator (e.g., a Hotel or Building Manager) to unlock physical barriers (doors, gates, elevators).
  • Restrictions: You may not:
    • Use the App for any illegal purpose.
    • Attempt to circumvent the security features of the App or the hardware it connects to.
    • Reverse engineer, decompile, or disassemble the App.
    • Share your device or credentials to grant unauthorized access to third parties.

4. Data Collection & Privacy

The Portal App operates on a "Privacy by Design" basis. Unlike general hospitality apps, Portal is strictly an infrastructure utility.

  • Minimal Data: We do not create user profiles, social graphs, or marketing databases. We collect only the technical data required to execute the unlock command (e.g., device identifiers, Bluetooth signal strength, and timestamped access logs).
  • Usage: This data is used solely to verify Your credential with the lock hardware and to provide an audit trail to the Property Manager (the Data Controller) for security purposes.
  • Privacy Statement: All data handling is governed by the Portal Privacy Statement, available at [https://tryportal.com/privacy]. By using the App, You acknowledge that we process this data as a Data Processor on behalf of the Property Manager.

5. Mobile Platforms

  • Apple iOS: If You use the App on an Apple device, You acknowledge that Apple is not responsible for the App or its content. Apple has no obligation to furnish maintenance or support services.
  • Google Android: If You use the App on an Android device, You acknowledge that Google is not responsible for the App or its content.

6. Third-Party Services

The Portal App acts as a bridge between You and the Property Manager. The App may display links or credentials provided by third parties (e.g., the Hotel). Portal is not responsible for the accuracy of booking dates, room assignments, or access rights granted by the Property Manager. If your digital key does not work due to an expired booking or revoked permission, You must contact the Property Manager directly.

7. Intellectual Property

Portal owns all rights, title, and interest in the Portal App, including all software code, interfaces, and encryption protocols. This EULA grants You a licence to use the software, not ownership of it.

8. Warranties and Exclusions

The Portal App is provided "AS IS." While we strive for 99.9% reliability, Portal cannot guarantee that the App will function perfectly in every environment (e.g., due to dead device batteries, Bluetooth interference, or hardware failure).To the extent permitted by law, Portal excludes all implied warranties of merchantability or fitness for a particular purpose. You agree that You use the App at Your own risk and should always carry a backup access method (e.g., physical keycard) if recommended by the Property Manager.

9. Limitation of Liability

To the extent not prohibited by law, Portal shall not be liable for any incidental, special, indirect, or consequential damages (including, without limitation, damages for loss of data, business interruption, or personal injury) arising out of Your use or inability to use the App. In no event shall Portal’s total liability to You exceed the amount of £10.00.

10. Indemnity

You agree to indemnify Portal against any claims, losses, or damages arising from Your violation of this EULA or Your misuse of the access credentials (e.g., granting access to unauthorized persons).

11. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically if You fail to comply with any term. Upon termination, You must cease all use of the App and delete all copies from Your devices. Portal reserves the right to revoke access credentials at any time upon instruction from the Property Manager.

12. General

This EULA is governed by the laws of the United Kingdom. If any provision is found to be unenforceable, the remaining provisions shall remain in full force.
